Rentnest Manage - Owner Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Rentnest Manage Platform ("Platform").

The Platform is operated by Rentnest Pty Ltd (ABN 36 692 286 721) acting in its capacity as the property management agent ("Agent").

The Platform enables the Agent to facilitate property management functions including:

  • rental payment processing
  • financial reporting
  • expense management
  • disbursement of funds to property owners.

Payment services used by the Platform are provided by Zai Australia Pty Ltd ("Payment Gateway Provider").

By accessing or using the Platform, the Owner agrees to be bound by these Terms.


1. Definitions

In these Terms:

Agent means Rentnest Pty Ltd acting as the licensed property manager for the property.

Owner means the person or entity that owns the property managed by the Agent.

Platform means the Rentnest Manage property management software system and associated services.

Payment Gateway Provider means Zai Australia Pty Ltd and its banking partner Cuscal, through which funds are processed.

Property Management Agreement means the agreement between the Owner and the Agent for the management of the property.


2. Relationship with Property Management Agreement

These Terms govern the use of the Platform only.

They operate in conjunction with the Property Management Agreement between the Owner and the Agent.

If any inconsistency arises between these Terms and the Property Management Agreement, the Property Management Agreement prevails in relation to property management services.


3. Acceptance of Terms

By accessing or using the Platform the Owner:

  • has read and understood these Terms
  • agrees to comply with these Terms
  • authorises the Agent to operate the Platform on their behalf to manage transactions
  • agrees to payments being processed via the Payment Gateway Provider
  • confirms they are the owner or are authorised to act for the property owner.

Continued use of the Platform constitutes acceptance of any updated Terms.


4. Licence to Use the Platform

The Platform grants the Owner a limited, non-exclusive, revocable, non-transferable licence to access the Platform for the purpose of viewing and managing information relating to their property and to facilitate property management services.

The Owner must not:

  • copy, modify or distribute the Platform
  • reverse engineer or attempt to extract source code
  • introduce malicious software into the Platform
  • use the Platform for unlawful or fraudulent purposes
  • interfere with the Platform's operation.

The Platform may suspend use if misuse is detected.


5. Account Security

Owners are responsible for maintaining the confidentiality of login credentials.

The Owner must:

  • not share account access with unauthorised persons
  • notify the Agent immediately if unauthorised access is suspected.

The Owner remains responsible for all activity conducted under their account.

The Platform is not responsible for losses resulting from compromised credentials.


6. Agent Authority & Co-Owner Instructions

The Owner authorises the Agent to use the Platform to manage financial transactions on their behalf, including:

  • receiving rental payments
  • paying authorised property expenses
  • deducting management fees
  • issuing refunds or mandatory reversals where required
  • distributing funds to the Owner.

Where a property has multiple owners:

  • each owner represents they have authority to act for all owners
  • the Agent may rely on instructions from any one owner.

All transactions initiated by the Agent within the Platform are deemed authorised by the Owner.

You authorise the Agent to instruct the Payment Gateway Provider to deduct fees and commission from gross rent before transferring the balance.


7. Platform Services

The Platform may provide services including:

  • rent disbursement tracking
  • maintenance expense management
  • payment disbursements
  • financial statements and reporting
  • property and tenancy data
  • document storage
  • account notifications & messaging.

The Platform may add, modify or remove features at any time. Material changes affecting Owners will include reasonable notice.


8. Payment Processing & Authorisation

The Platform facilitates payment transactions through the Payment Gateway Provider.

All financial transactions, payment settlement, and clearing services are processed by the Payment Gateway Provider (Zai) and associated financial institutions.

The Platform maintains audit logs of all instructions, approvals, and disbursements.

Transactions may include:

  • tenant rent payments
  • disbursements to Owners
  • payments to contractors or suppliers
  • refunds and Mandatory Reversals.

Owners are responsible for providing accurate bank account and identification information.


9. Trust Account Disclaimer

Rental payments processed through the Platform may be transferred directly between tenants, the Payment Gateway Provider and the Owner's nominated bank account.

In these circumstances:

  • funds may not pass through a traditional real estate trust account operated by the Agent unless required by law
  • the Agent does not hold beneficial ownership of those funds
  • the Agent acts solely as a facilitator of payment instructions through the Platform.

10. Direct-to-Owner Payment Structure

The Platform may facilitate payments directly to Owners' nominated bank accounts.

Owners are responsible for ensuring accuracy of account details.

The Platform does not provide payment processing or banking services and is not liable for delays caused by banks or financial institutions.


11. Payment Authorisation

The Owner authorises the Agent to instruct the Payment Gateway Provider to:

  • collect rental payments
  • deduct management commissions
  • pay property expenses
  • distribute net rental income to the Owner.

12. Transaction Fees

Certain transactions may incur fees depending on the payment method used.

Fees may include:

  • card payment processing fees
  • payment network fees
  • Platform transaction fees.

Applicable fees will be disclosed through the Platform or associated documentation.


13. Payment Failures and Bank Errors

The Agent is not responsible for payment failures caused by:

  • banking system outages
  • incorrect bank account details
  • insufficient funds in tenant accounts
  • payment network failures.

Where a transaction fails, the Platform may attempt to reprocess the payment where possible.


14. Mandatory Reversals

Financial institutions may impose mandatory reversal transactions in cases including:

  • fraud investigations
  • unauthorised transactions
  • payment processing or network errors
  • reversals mandated by financial institutions.

Where a Mandatory Reversal occurs, the Owner is responsible for repaying amounts reversed and must cooperate with investigations.


15. Owner Information and Compliance

The Owner must provide accurate information necessary for operation of the Platform including:

  • identification details
  • banking information
  • contact information.

The Platform may request additional information to comply with Anti-Money Laundering and Counter-Terrorism Financing laws.

Failure to provide required information may result in suspension of payment services.


16. Data Accuracy

The Owner is responsible for ensuring that information provided through the Platform is accurate and up to date.

The Agent is not liable for losses arising from incorrect information supplied by the Owner.


17. Privacy

Personal information collected through the Platform is handled in accordance with the Privacy Act 1988 (Cth) and the Platform's Privacy Policy.

Information may be shared with service providers including the Payment Gateway Provider where necessary to operate the Platform.

Owners retain all rights to their personal information and property data.


18. Intellectual Property

All intellectual property rights in the Platform remain the property of the Agent or its licensors.

These Terms grant only a licence to use the Platform and do not transfer ownership rights.


19. Third-Party Services

The Platform may integrate services provided by third parties including:

  • payment providers
  • identity verification services
  • financial software integrations.

The Platform is not responsible for failures caused by third-party services.


20. Platform Availability

The Agent does not guarantee uninterrupted access to the Platform.

Service interruptions may occur due to:

  • system maintenance/upgrades
  • technical failures
  • cybersecurity incidents
  • internet outages
  • third-party system failures.

21. Suspension or Termination

Access to the Platform may be suspended or terminated where:

  • these Terms are breached
  • fraudulent or suspicious activity is detected
  • required by the Payment Gateway Provider or regulators.

22. Limitation of Liability

To the maximum extent permitted by law, the Platform is not liable for losses arising from:

  • payment delays or processing errors
  • banking system failures
  • third-party service disruptions
  • incorrect information supplied by the Owner.

Where liability cannot be excluded, liability is limited to the resupply of services.


23. Indemnity

The Owner indemnifies the Platform against losses arising from:

  • breach of these Terms
  • misuse of the Platform
  • incorrect information provided
  • unlawful activity or unauthorised use associated with the Owner's account.

24. Force Majeure

The Agent is not liable for delays or failures caused by events beyond reasonable control including:

  • natural disasters
  • banking outages
  • telecommunications failures
  • government actions.

25. Electronic Communications

The Owner agrees that communications may be delivered electronically through:

  • Platform notifications
  • email correspondence
  • digital statements.

These are deemed legally received upon delivery.


26. Governing Law

These Terms are governed by the laws of Australia and the State or Territory in which the Agent operates and disputes are subject to the jurisdiction of its courts.


Annexure A - Payment Gateway Provider Terms

Payment services used by the Platform are provided by Zai Australia Pty Ltd and we are required to include this in our Terms of Use.

Use of payment services is subject to the Zai End User Agreement.

Where inconsistencies arise between these Terms and the Zai agreement, the Zai agreement prevails for payment services.


Owner Acceptance

By accessing or using the Platform, the Owner acknowledges and agrees to these Terms of Use.
